01This agreement
These terms are an agreement between you and [Company legal name] (“we”, “us”) for your use of QuantReplay: the website, the app and everything they provide (the “service”). Our risk disclosure and privacy policy are part of these terms.
By using the service you accept these terms. If you use it for a company or other organization, you accept them for that organization and confirm you are allowed to. If you don’t agree, don’t use the service.
02The service
QuantReplay is software for building, testing and running your own automated futures trading strategies (“bots”). It includes an AI assistant, Quinn, that writes and edits Python strategies; backtests on historical 1-minute CME futures data; prop-firm pass-odds simulations; market replay; and a deployment runner with a risk guard that sends your bots’ orders to Paper trading or to the broker, bridge or webhook you connect.
Features can change, break or be removed, and some are marked experimental (such as native broker connections and the live data feed). The service runs on servers we operate; you use it through your own account.
03Who can use it
- You must be at least 18 and have reached the age of majority where you live.
- You must not be barred from using the service by law, including sanctions, and must not be located in a country subject to comprehensive embargoes.
- Trading futures, and trading them automatically, must be lawful for you where you live.
- You must meet the requirements of your broker, your prop firm and the market data you use, including any classification as a non-professional data user. [Counsel to confirm the exchange data requirements.]
04Access and accounts
You sign in with your Google account, or with your email address and a password. Your bots, conversations, replay sessions, connected accounts and deployments belong to your account, and other customers can’t see or change them. Keep your sign-in secure: you are responsible for everything done under your QuantReplay account, and you should tell us at once if you think someone else has used it.
One account per person. Don’t share your sign-in, and don’t create accounts to get more free trials.
05Your strategies and content
You own your bots. The code, files, prompts, conversations, replay sessions, journal notes and settings you create or upload (“your content”) stay yours. As between you and us, we assign to you whatever rights we have in the code and text Quinn generates for you. AI can produce similar output for other people, so we can’t promise that output is unique to you.
You give us a limited license to store, copy, process, transmit and display your content only as needed to run, secure and support the service: for example, to run your backtests, to send your messages and relevant code to our AI provider when you use Quinn, and to send your bots’ orders where you direct. We don’t sell, publish or trade your strategies, and we don’t use them to train AI models.
You confirm you have the rights to everything you upload. If you send us feedback or suggestions, we may use them without any obligation to you.
06Our software and brand
The service, its software, design, documentation, templates, examples and the QuantReplay name and logo belong to us or our licensors. We give you a personal, revocable, non-exclusive, non-transferable license to use the service for your own trading while you follow these terms. You may use and change the templates and example bots inside your own bots.
You may not copy, resell or rebrand the service, reverse engineer it except where the law allows, use it to build a competing product, or remove our notices.
07Market data
Historical market data in the service is either synthetic sample data or CME Group futures data licensed from Databento. The exchanges and Databento own their data and restrict how it can be used.
- Use market data only inside the service, for your own research and trading.
- Don’t copy, bulk-download, scrape, export, redistribute, display to others, resell, or use it to build other data products, indexes or services.
- Exchange and data-provider terms may apply to you directly, and they win where they conflict with these terms.
- We may limit or remove data access when our licenses require it.
Data is provided as is and can contain errors, gaps and delays.
Charts and backtest results on our website may be drawn from historical CME futures data licensed from Databento. They are shown to illustrate the product, the same restrictions apply to them, and any performance they show is hypothetical, as the risk disclosure explains.
08Acceptable use
You agree not to:
- Use the service to break any law or regulation, or to manipulate markets (spoofing, layering, wash trades, front-running or similar).
- Abuse brokers’, bridges’, exchanges’ or prop firms’ systems: exceed or get around their rate limits, trade accounts you aren’t authorized to trade, or break their rules on automation, copy trading or multiple accounts.
- Write or run bots that attack the service or anyone else, try to escape the bot sandbox, reach internal networks, access other people’s data, mine cryptocurrency, send spam or carry malware.
- Scrape, overload or load-test the service, or get around its access controls or usage limits, including Quinn’s.
- Use Quinn to create anything that Anthropic’s usage policies prohibit.
- Share or resell your access, or upload content you don’t have the rights to.
09Your deployments and orders
You decide whether to deploy a bot, which account it trades and what limits it runs under. By deploying, you authorize us to send the orders your bot generates to the route you chose, using the credentials you provided.
You are solely responsible for every order your bots send, whether you intended it or it came from a bug, a data error, an AI mistake or an outage, and for the resulting positions, losses, fees and rule violations.
- Monitor your deployments, and keep a way to flatten and cancel orders at your broker yourself.
- Stopping a deployment does not close its open position. You are responsible for positions open when a deployment stops for any reason.
- The risk guard, compliance checks and firm summaries are aids, not guarantees. Webhook routes don’t report fills, and native broker connections are experimental. The risk disclosure explains these limits.
- Paper deployments are simulated and send no orders anywhere.
We may pause or stop a deployment when we reasonably need to for security, to comply with law, or to protect the service or others. Where we can, we’ll tell you first.
10Your broker and prop-firm accounts
Your relationship with your broker, prop firm and bridge is governed by their terms; we are not a party to it. You are responsible for following their rules, including whether they allow automated trading, and for their fees.
When you connect an account, you authorize us to store its credentials encrypted and to use them only to send your bots’ orders, test the connection and read the account state the deployment needs. Revoke a credential at its source if you stop using the service.
11Third-party services
The service depends on other companies’ services, each with its own terms:
- Anthropic: the Claude models that power Quinn.
- Databento: historical and live CME futures market data.
- Tradovate and ProjectX (TopstepX): native broker connections (experimental).
- TradersPost and PickMyTrade: webhook bridges to broker accounts.
- Custom webhooks and Discord- or Slack-compatible alert webhooks that you configure.
- Cloudflare: delivers the shared link to your browser.
- TradingView: the live chart widget on our home page.
- Google: signing in with Google.
- Cloudflare Email Service: the emails we send you (sign-up links, password resets, billing notices).
- Stripe: subscriptions and card payments. Your card details go to Stripe, not to us.
- [Hosting provider], if the service moves off our own machine.
We don’t control these services and aren’t responsible for their availability, accuracy or conduct. If one changes or ends, related features may change or stop working.
12Quinn and AI output
Quinn’s code, explanations and reports can be wrong. They are not advice, and you are responsible for reviewing them before you rely on them or trade with them. What you send to Quinn is processed by Anthropic as our service provider, as the privacy policy describes. We may set limits on how much you can use Quinn.
13Your plan, the free trial, renewal and refunds
QuantReplay has one plan, at $124.99 a month in US dollars, plus any taxes that apply where you live. Stripe processes the payments.
Free trial. A new account’s plan starts with a 1-day free trial. You give a card when you start it. If you cancel before the trial ends, you won’t be charged. If you don’t, the first $124.99 charge is made when the trial ends. One free trial per person.
Automatic renewal. After the trial, your plan renews automatically every month, and we charge your card $124.99 at the start of each month of service until you cancel. If a payment fails, we may pause your access until it goes through.
How to cancel. Cancel anytime in QuantReplay: Settings, then Billing, then “Manage billing”, or email us (below). Canceling stops the next renewal. Your access continues until the end of the month you have already paid for, and then ends. Canceling doesn’t stop your running deployments or close positions: stop them, and close positions at your broker.
Refunds. [Refund policy to be decided before launch, e.g. no refunds for partial months except where the law requires one.]
Price changes. We’ll tell you at least [30 days] before a price change takes effect, by email to the address on your account. It applies from your next renewal after that date; if you don’t agree, cancel before then.
Costs charged by others, such as prop-firm fees, broker commissions, exchange and data fees and bridge subscriptions, are yours and are never refunded by us.
14No advice, no guaranteed results
QuantReplay is not a broker, futures commission merchant, commodity trading advisor, commodity pool operator or investment adviser, and it never holds your funds. Nothing in the service is investment, financial, tax or legal advice. Backtests, replays, pass odds and the example charts and results on our website are hypothetical, even when built from real historical data, and nothing guarantees profits, returns or passing an evaluation. Every trading decision is yours. See the risk disclosure.
15Disclaimer of warranties
The service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement and accuracy.
We don’t promise that the service will be uninterrupted, secure or error-free; that market data will be accurate, complete or timely; that Quinn’s output will be correct; that bots will behave live as they did in backtests; or that orders will be sent, received or filled as intended.
Some places don’t allow these disclaimers, so some may not apply to you.
16Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for trading losses, lost profits, lost evaluation fees, lost funded accounts or payouts, lost data or the cost of substitute services, arising from the service, your bots, their orders, market data, outages, Quinn’s output or third-party services, even if we were told they were possible.
Our total liability for all claims relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim and [US$100].
Nothing in these terms limits liability that the law doesn’t allow us to limit, such as for fraud, or rights you have as a consumer that can’t be waived.
17Indemnity
You will defend and indemnify us, and our officers, employees and agents, against claims, losses and costs (including reasonable legal fees) arising from your content, your bots and their orders, your breach of these terms, your violation of any law, or your violation of a broker’s, prop firm’s, exchange’s or data provider’s terms.
18Suspension and termination
You can stop using the service at any time and delete what you created, as the privacy policy explains.
We may suspend or end your access if you break these terms, if your use creates risk or legal exposure for us or others, if the law requires it, or if we discontinue the service. Where we reasonably can, we’ll give you notice and a chance to export your bots first. [Notice period to be decided.]
When access ends, your license to use the service ends, and your deployments stop. Stopping doesn’t close open positions, so close them at your broker. Sections that by their nature should survive (ownership, disclaimers, limitation of liability, indemnity, governing law) survive.
19Changes to the service and these terms
We may change the service and these terms. When we make a material change to the terms, we’ll update the date at the top and tell you in the app or by email (once accounts exist) before it takes effect. If you keep using the service after that, you accept the new terms; if you don’t agree, stop using it.
20Governing law and disputes
These terms are governed by the laws of [governing law], without regard to conflict-of-law rules. Disputes will be resolved in [courts or arbitration forum, and venue]. [Whether to include arbitration and a class-action waiver is to be decided with counsel.]
Before starting a formal dispute, write to us at [Contact email] and give us 30 days to try to resolve it informally.
21General
These terms, with the risk disclosure and privacy policy, are the whole agreement between us about the service. If a provision is unenforceable, the rest still applies. Not enforcing a provision isn’t a waiver. You may not transfer these terms without our consent; we may transfer them with our business. We aren’t liable for delays caused by events beyond our reasonable control. No one else has rights under these terms.
